Partnership Agreement
1. Purpose
The Account Owner agrees to allow Brand Bridge to connect their verified payment processor account (Stripe, Shopify Payments, PayPal, Square, or Airwallex) to vetted high-volume brands. In return, the Account Owner receives a share of the revenue processed through their account.
2. Account Ownership
The Account Owner remains the full legal owner of their account at all times.
Brand Bridge does not buy, sell, or transfer accounts.
The Account Owner grants Brand Bridge permission to connect their account for processing on behalf of partnered brands.
3. Revenue Share & Payouts
The Account Owner will receive 10% of all successfully processed transactions through their account.
Payouts are scheduled in alignment with processor settlement cycles (weekly or monthly).
Brand Bridge provides transparent payout reports.
Delays caused by processors, banks, or reserves are outside Brand Bridge’s control.
4. Compliance & Risk Management
The Account Owner must pass KYC/KYB verification and provide required documentation.
Brand Bridge will only connect accounts to vetted, approved brands.
Chargebacks, disputes, and reserves will be managed according to Brand Bridges compliance framework.
Brand Bridge reserves the right to pause or terminate the partnership if account risk exceeds acceptable levels.
5. Responsibilities of the Account Owner
Maintain accurate account and banking information.
Cooperate with compliance checks and document requests.
Refrain from any fraudulent, high-risk, or prohibited activities.
Notify Brand Bridge immediately of any restrictions or holds placed by the payment processor.
6. Responsibilities of Brand Bridge
Manage the connection between the Account Owner’s account and vetted brands.
Monitor account risk, disputes, and compliance thresholds.
Provide transparent reporting and scheduled payouts.
Ensure brands remain within processor guidelines.
7. Termination
This Agreement may be terminated by either party with [30] days’ written notice, or immediately in the event of:
Non-compliance with processor rules,
Fraudulent or prohibited activity,
Breach of this Agreement.
Upon termination, all pending payouts due to the Account Owner will be processed according to the payout schedule.
8. Limitation of Liability
Brand Bridge is not liable for:
Processor-imposed reserves, holds, or freezes.
Loss of income due to account restrictions or termination by payment processors.
Any indirect, incidental, or consequential damages.
9. Independent Relationship
Nothing in this Agreement creates an employer-employee, joint venture, or partnership relationship. The Account Owner and Brand Bridge remain independent parties.
